Introduction

 Welcome to Mentorise Ltd. We are delighted to have you engage with our services and are committed to helping you grow through innovative technology consulting, SaaS products, EdTech, and FinTech solutions.

These Terms and Conditions constitute a legally binding agreement between you ("Client" or "User") and Mentorise Ltd, a private limited company registered in England and Wales (Company No. 17222288), with its registered office at 167-169 Great Portland Street, Fifth Floor, London, England, W1W 5PF ("Mentorise", "we", "us", or "our").

By accessing our website at https://mentorise.net, engaging our consulting services, subscribing to our SaaS products, or otherwise using any of our services (collectively, the "Services"), you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these terms, please refrain from using our Services.

Our Mission

At Mentorise Ltd, our mission is to make exceptional technology services accessible, practical, and genuinely impactful for every business we work with. We specialise in three core areas:

• Technology Consulting — Strategic advisory, digital transformation, product strategy, and CTO-level guidance for businesses across the UK, Europe, and Turkey.

• SaaS Products — Purpose-built software platforms designed to solve real operational challenges for modern technology teams.

• EdTech Solutions — Educational technology consulting and development, helping organisations transform how they train, learn, and grow.

• FinTech Solutions — Tailored consulting and software services for financial technology businesses, supporting secure, compliant, and efficient scaling.

Agreement Details

By engaging Mentorise Ltd's services, you acknowledge that you have read, understood, and agree to abide by these Terms and Conditions. This agreement covers the following key areas:

• Account Creation and Security — Guidelines for creating and maintaining a secure account on our platforms.

• Service Usage — Permitted uses of our Services and activities that are prohibited.

• Subscription and Billing — Details on our subscription plans, billing cycles, and payment terms.

• Privacy and Data Security — How we collect, use, and protect your personal information in accordance with UK GDPR.

• Intellectual Property — Your rights to use our Services and our rights to the content and technology we provide.

• Dispute Resolution — Procedures for resolving any disputes that may arise between you and Mentorise Ltd.


Services

4.1  Technology Consulting

Mentorise provides strategic technology consulting services including but not limited to digital transformation strategy, technology stack assessment, vendor selection, engineering process optimisation, CTO advisory, and product roadmapping. The scope, deliverables, and fees for consulting engagements will be agreed in a separate Statement of Work ("SOW") or Service Agreement.

4.2 SaaS Products

Access to Mentorise's SaaS products is provided on a subscription basis. Features, pricing, and usage limits are as specified in your subscription plan. We reserve the right to update, modify, or discontinue features with reasonable notice.

4.3 EdTech and FinTech Solutions

Mentorise provides specialised consulting and software development services to EdTech and FinTech businesses. All engagements in these sectors are subject to applicable regulatory requirements, and Clients are responsible for ensuring their use of our services complies with all relevant laws and regulations in their jurisdiction.

4.4 Bespoke Software Development

Custom software development projects are governed by a separate development agreement outlining project scope, timelines, payment milestones, and intellectual property ownership. Unless otherwise agreed in writing, all custom software developed by Mentorise remains the intellectual property of the Client upon full payment.

Client Responsibilities

 As a Client or User of Mentorise's services, you are responsible for:

• Providing accurate, complete, and up-to-date information required for service delivery.

• Safeguarding your account credentials and notifying us immediately of any unauthorised access.

• Complying with all applicable laws and regulations in your jurisdiction.

• Using our Services in a manner that respects the rights and experiences of other users.

• Ensuring your use of our Services does not infringe any third-party intellectual property rights.

• Paying all fees in accordance with the agreed payment terms.

Subscription and Billing

6.1 Payment Terms

Fees for our Services are as agreed in your subscription plan, SOW, or service agreement. Unless otherwise stated, invoices are payable within 30 days of the invoice date. Late payments may be subject to interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6.2 Subscription Renewals

SaaS subscriptions renew automatically at the end of each billing period unless cancelled with at least 14 days' written notice prior to renewal. Refunds for unused subscription periods are not provided except where required by applicable law.

6.3 Price Changes

Mentorise reserves the right to modify pricing with at least 30 days' written notice. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.

Intellectual Property

All intellectual property rights in our website, SaaS platforms, proprietary methodologies, documentation, and associated materials are owned by or licensed to Mentorise Ltd. You are granted a limited, non-exclusive, non-transferable licence to use our Services solely for your internal business purposes.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of our software, unless laws prohibit these restrictions or you have our written permission.

Privacy and Data Security

Mentorise Ltd is committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our full Privacy Policy, available at https://mentorise.net/privacy-policy, explains how we collect, use, store, and protect your information.

We implement industry-standard technical and organisational measures to protect your data against unauthorised access, loss, or disclosure. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

Confidentiality and Limitation of Liability

Both parties agree to keep confidential all non-public information disclosed in connection with the Services and to use such information solely for the purposes of the engagement. This obligation of confidentiality shall survive termination of the agreement for a period of three (3) years, except where disclosure is required by law or regulation.


To the fullest extent permitted by applicable law, Mentorise Ltd's total liability to you for any claim arising out of or in connection with these Terms and Conditions shall not exceed the total fees paid by you to Mentorise in the three (3) months preceding the event giving rise to the claim.

Mentorise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages. 

Termination and Changes to These Terms

Either party may terminate a service engagement with written notice as specified in the relevant SOW or service agreement. Mentorise reserves the right to suspend or terminate access to our Services immediately if you breach these Terms and Conditions or engage in conduct that is harmful to Mentorise, other users, or third parties.

Upon termination, your right to access and use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall do so, including intellectual property, confidentiality, limitation of liability, and dispute resolution.

  

Mentorise Ltd reserves the right to update these Terms and Conditions at any time. We will notify you of significant changes by email or by posting a prominent notice on our website. Your continued use of our Services following notification of changes constitutes your acceptance of the updated terms.

We encourage you to review these Terms periodically to stay informed of any updates. The date of the most recent revision is displayed at the top of this document.


Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.
